ADL's Residential Sales Contracts have undergone a revamp to accommodate e-conveyancing in Qld.

In addition to changes for e-conveyancing in our new Settlement Item and Settlement Clauses, we have taken the opportunity to affect further changes to better allow for the electronic provision of all documents related to a sale (including but not limited to Notices).

These further changes have been implemented to better accommodate modern electronic methods of communication and, among other things, allow for:

  • the provision of documents and related documents via services such as DropBox, where documents are accessed via a link, in an email, to the document on an external server (refer decision in Conveyor & General Engineering Pty Ltd v Basetec Services Pty Ltd & Another [2014] QSC30 in the Queensland Supreme Court - click here for related Mondaq article)
  • the ability to sign contracts and related agreements electronically using services such as DocuSign.

In respect to these changes, definitions for 'Related Document' and 'Electronic Document' have been implemented and the clauses 'Notice' and 'Provision of Documents' have been replaced by a single clause titled 'Related Documents/Notices'.

Further, provision of Related Documents via electronic means is no longer an option in our contracts - it is now the default where an electronic address has been provided by the client.

The Related Document and Electronic Document provisions we have implemented in the Sales Contracts will be rolled out in other agreements in the coming months, including Agency Appointments and Tenancy Agreements.

We believe the changes we are implementing will allow our clients to move forward with the confidence of being able to take full advantage of modern electronic technologies in their businesses. More importantly, as a result of these changes ADL's clients will soon be able to take full advantage of the DocuSign electronic signing capabilities as a built-in service of ADLForms and its related products (Click here to read more about DocuSign).
